Master Services Agreement

1. Scope & order forms

This Master Services Agreement governs the commercial relationship between MAVENKOPAY LLC and the customer named on the applicable order form. Each order form incorporates this agreement and our Terms of Service, and prevails over them only where it states so expressly.

2. Service levels

Mavenkopay targets 99.99% monthly availability of the core API for customers on the Platform plan, measured excluding scheduled maintenance announced at least 48 hours in advance.

Service credits accrue when monthly availability falls below the committed level.
Credits are the sole remedy for availability shortfalls.
Real-time and historical status is published at status.mavenkopay.com.

3. Settlement & reserves

Captured funds settle to your Mavenkopay balance and pay out on the schedule in your order form. We may hold a rolling reserve where risk, chargeback history or regulatory requirements warrant it, with the basis disclosed in writing.

4. Chargebacks & disputes

You are responsible for the underlying transaction in a chargeback. Mavenkopay surfaces the dispute, collects your evidence and submits it within network deadlines. Disputed amounts and associated fees may be debited from your balance pending the outcome.

5. Compliance obligations

Each party complies with the card network rules, PSD2, anti-money-laundering law and applicable sanctions regimes. You complete onboarding KYC for yourself and, where you onboard sub-merchants, for them, using the tools we provide.

6. Sub-processors

We use a published list of sub-processors for acquiring, cloud hosting and identity verification. We give at least 30 days' notice of a new sub-processor, during which you may object on reasonable data-protection grounds.

7. Indemnities

Mavenkopay indemnifies you against third-party claims that the platform infringes their intellectual property. You indemnify Mavenkopay against claims arising from your products, your customers, and your use of the platform in breach of this agreement.

8. Term & renewal

The agreement runs for the initial term on your order form and renews for successive twelve-month periods unless either party gives 60 days' notice. Volume commitments reset at each renewal.

9. Changes

We may update this agreement for new features or legal requirements with 30 days' notice. Material changes that disadvantage you give you a right to terminate without penalty before they take effect.
